BY ACCEPTING YOUR PROPOSAL YOU ARE ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THE FOLLOWING TERMS & CONDITIONS:

SCOPE OF WORK

HALF PRICE KITCHEN ORLANDO, LLC WILL FURNISH CUSTOMER WITH AN PROPOSAL TO DESCRIBE ALL THE WORK
TO BE COMPLETED THAT IS ALSO ATTACHED TO THIS PURCHASE AGREEMENT. IF IT IS
NOT STATED IN THE PROPOSAL,
THEN IT IS
NOT INCLUDED IN THIS CONTRACT. MANY THOUGHTS AND IDEAS ARE DISCUSSED DURING THE SALES
PROCESS, BUT NOT ALL OF THEM ARE AGREED UPON; THEREFORE, IT IS UP TO THE CUSTOMER TO
THOROUGHLY
REVIEW THE PROPOSAL & DESIGN TO ENSURE THAT EVERYTHING AGREED UPON IS INCLUDED IN THE CONTRACT.
ONCE AGAIN, IF IT IS
NOT STATED IN THE PROPOSAL, THEN IT IS NOT INCLUDED IN THIS CONTRACT.

HALF-PRICE KITCHEN TERMS OF CONDITIONS

PROJECT MANAGEMENT AND TIME OF COMPLETION

THE WORK TO BE PERFORMED UNDER THIS CONTRACT SHALL COMMENCE ONCE ALL DOCUMENTS THAT REQUIRE
SIGNATURE HAVE BEEN SUBMITTED & APPROVED BY BOTH
HALF PRICE KITCHEN ORLANDO, LLC & CUSTOMER.

A WRITTEN SCHEDULE WILL NOT BE A PART OF THIS SALES CONTRACT & AGREEMENT. TIME IS OF ESSENCE IN THE
PERFORMANCE OF ALL OBLIGATIONS OF THIS AGREEMENT, AND HALF PRICE KITCHEN ORLANDO, LLC AGREES TO
PERFORM/DELIVER THE WORK/MATERIALS IN A TIMELY MANNER. IT IS OF THE HIGHEST PRIORITY FOR HALF PRICE
KITCHEN ORLANDO, LLC TO COMPLETE THE PROJECT IN THE LEAST AMOUNT OF DAYS AS POSSIBLE, AS DELAYS IN
PROGRESS ARE UNFAVORABLE TO BOTH THE CUSTOMER AND HALF PRICE KITCHEN ORLANDO, LLC. THE PROJECT
MANAGER SHALL VERBALLY STATE AN APPROXIMATE AMOUNT OF DAYS NEEDED TO COMPLETE THE PROJECT, BASED
UPON PAST HISTORY OF SIMILAR PROJECTS. THE PROJECT MANAGER WILL DO EVERYTHING IN HIS OR HER POWER TO
COMPLETE THE PROJECT AS QUICKLY AS POSSIBLE. THE PROJECT MANAGER WILL BE IN CONSTANT COMMUNICATION
WITH THE CUSTOMER, GIVING FREQUENT UPDATES OF THE PROGRESS OF THE SCHEDULE. THE CUSTOMER
ACKNOWLEDGES THAT UNPREDICTABLE EVENTS OUTSIDE OF HALF PRICE KITCHEN ORLANDO, LLC’S CONTROL MAY
HAPPEN DURING THE COURSE OF THE PROJECT (CHANGE ORDERS, SICKNESS, WEATHER DELAYS, MATERIAL
BACKORDERS, MATERIALS DAMAGED IN TRANSIT, ETC.)
HALF PRICE KITCHEN ORLANDO, LLC IS IN NO WAY
LIABLE TO REFUND ANY MONEY BASED UPON THE DURATION OF THE PROJECT SCHEDULE, OR THE NUMBER OF
UNEXPECTED EVENTS AND PROBLEMS DURING THE COURSE OF THE PROJECT.

CONTRACT SUM

BY AGREEING TO THIS PROPOSAL, YOU AGREE TO PAY HALF PRICE KITCHEN ORLANDO, LLC AND/OR OUR
PREFERRED INSTALLERS (IF APPLICABLE) THE CONTRACT SUM IN CURRENT FUNDS FOR HALF PRICE KITCHEN
ORLANDO, LLC PERFORMANCE OF THE PURCHASE AGREEMENT.

THE CONTRACT SUM SHALL BE:
THE CONTRACT SUM SHALL BE SUBJECT TO ADDITIONS AND DEDUCTIONS AS PROVIDED BY CHANGE ORDERS AS STATED
IN THE CONTRACT DOCUMENTS.

PAYMENTS

ALL PAYMENT TERMS ARE AS FOLLOWS

CABINETS - CUSTOMER AGREES TO PAY FOR 100% OF CABINET’S AND SALES TAX PRIOR TO HALF PRICE
KITCHEN ORLANDO, LLC ORDERING ALL MATERIAL FOR THIS PROJECT. THIS INCLUDES ANY ACCESSORIES OR
UPGRADED CABINET HARDWARE IF SUPPLIED BY HALF PRICE KITCHEN ORLANDO, LLC

DEMOLITION- CUSTOMER AGREES TO PAY 100% OF TOTAL DEMOLITION TO PREFERRED INSTALLERS LISTED IN
PROPOSAL WHEN DEMOLITION IS COMPLETED.
CUSTOMER WILL NOTIFY PROJECT MANAGER AND/OR INSTALLER OF
ANY MATERIAL THAT CUSTOMER WANTS TO KEEP PRIOR TO INSTALLATION.


INSTALLATION - CUSTOMER AGREES TO PAY 100% OF TOTAL INSTALLATION TO PREFERRED INSTALLER LISTED IN
PROPOSAL WHEN INSTALLATION IS COMPLETE AND A MINIMUM OF 80% IF THE PROJECT IS DELAYED TO
CHANGE ORDERS OR ANY MFG DEFECTS OR DELAYS OUTSIDE OF PREFERRED INSTALLERS CONTROL.

COUNTERTOPS - CUSTOMER AGREES TO PAY A DEPOSIT OF 50% OF TOTAL COUNTERTOP, SINKS AND FAUCETS TO
HALF PRICE KITCHEN ORLANDO, LLC PRIOR TO SCHEDULING OF TEMPLATE OF COUNTERTOPS AND THE
REMAINING 50% OF TOTAL FOR COUNTERTOPS, SINKS, FAUCETS OR COUNTERTOP ACCESSORIES WHEN
THE COUNTERTOPS ARE INSTALLED.

SHOULD COLLECTION OF ANY AMOUNTS DUE UNDER THIS CONTRACT BE NECESSARY, PREVAILING PARTY SHALL BE
ENTITLED TO A REASONABLE ATTORNEY’S FEES AND COST BOTH AT TRIAL AND APPELLANT LEVELS.


RETAIL LOCATION

HALF PRICE KITCHEN ORLANDO, LLC IS A RETAIL LOCATION THAT SPECIALIZES IN PROVIDING QUALITY
CABINETS AND COUNTERTOPS TO OUR CUSTOMERS AT DISCOUNTED PRICES. AS PART OF OUR SERVICE,
WE PROVIDE DESIGNS, CONSULATION AND ASSISTANCE WITH THE PLANNING OF YOUR KITCHEN
REMODEL. WE HAVE AGREEMENTS WITH OUR PREFERRED INSTALLERS TO INSTALL OUR CABINETS AND
COUNTER TOPS FOR OUR CUSTOMERS AT SPECIAL RATES FOR OUR CUSTOMERS, HOWEVER WE DO NOT
REQUIRE OUR CUSTOMERS TO USE OUR PREFERRED INSTALLERS.


PREFERRED INSTALLERS

HALF PRICE KICTHEN ORLANDO, LLC HAS AGREEMENTS WITH PREFERRED INSTALLERS AND
FABRICTAORS THAT HAVE PROVEN TO PROVIDE A HIGH LEVEL OF CRAFTMANSHIP AND SERVICE TO OUR
CUSTOMERS. BECAUSE OF THIS, HALF PRICE KITCHEN ORLANDO, LLC WILL ONLY WARRANTY THE WORK
OF OUR PREFERRED INSTALLERS AND FABRICATORS.


OTHER WORK

A TIMES HALF PRICE KITCHEN ORLANDO, LLC MAY PROVIDE ESTIMATES CATAGORIZED AS ‘OTHER WORK
IF NOT DONE BY YOURSELF’, TO PROVIDE CUSTOMER WITH AN OVER ALL EXPECTED BUDGET FOR THE
PROJECT. UPON REQUEST, HALF PRICE KITCHEN ORLANDO, LLC WILL PROVIDE A PROJECT CONTACT LIST
FOR CUSTOMERS IN NEED OF OTHER SERVICES, INCLUDING DRYWALL, PAINTING, ELECTRICAL,
PLUMBING, TILE AND MORE. THIS LIST AND INFORMATION IS PROVIDE TO ASSIST CUSTOMERS WITH
CORDINATING THE PROJECT. IN NO WAY DOES THIS OBLIGATE HALF PRICE KITCHEN ORLANDO, LLC OR
ITS PREFERRED INSTALLERS TO CONDUCT THE WORK AND HALF PRICE KITCHEN IS NOT RESPONSIBLY
FOR THE WORKMANSHIP, SCHEDULE, MATERIAL OR ANY AND ALL OTHER COSTS THAT MAY OCCUR
BETWEEN YOU AND ANY CONTRACTORS THAT YOU DECIDE TO HIRE FOR YOUR PROJECT.


LEAD TIMES

ALL LEAD TIMES ARE DETERMINED BY MANUFACTURER OF THE CABINETS THAT ARE SELECTED BY CUSTOMER. THEY
WILL VARY BASED ON CURRENT DEMAND BY MANUFACTURER AND ARE DETERMINED WHEN WE PLACE THE ORDER.
HALF PRICE KITCHEN ORLANDO, LLC WILL ATTEMPT TO PROVIDE CUSTOMER WITH AS ACCURATE OF A DELIVERY
DATE AS POSSIBLE FOR ALL CUSTOMERS.


RTA CABINETS ACKNOWLEDGMENT

HALF PRICE KITCHEN ORLANDO, LLC SELLS BOTH RTA (READY-TO-ASSEMBLE) CABINETS AND FULLY ASSEMBLED
CABINETS. CUSTOMER AGREES THAT THEY UNDERSTAND THAT UNLESS THEY ORDER FROM A MANUFACTURER THAT
PROVIDES ASSEMBLED CABINETS, OR THEY HAVE PURCHASED AN ASSEMBLY PACKAGE, THAT CABINETS WILL ARRIVE ON
A PALLET AS A FLAT PACK SHIPMENT THAT MAY BE DELIVERED CURBSIDE AND IT IS THE CUSTOMERS

RESPONSIBILITY TO SCHEDULE THE APPOINTMENT AND BRING THE CABINETS IN TO A SECURE
LOCATION.

CUSTOMER AGREES TO CHECK ALL MATERIAL AND TO REPORT ANY NOTICBLE DAMAGE ON THE EXTERIOR
OF BOXES WITH THE DRIVER AT TIME OF DELIVERY AND THAT FALIURE TO DO SO MAY VOID THE
MANURFACTURER WARRANTY. CUSTOMER ALSO AGREES TO INSPECT ALL MATERIAL UPON OPENING
EACH BOX AND TO PROVIDE PHOTOS AND DESCRIPTIONS OF ANY DAMAGE PRIOR TO ASSEMBLY THROUGH
THE CUSTOMER PORTAL PROVIDED BY HALF PRICE KITCHEN ORLANDO, LLC. 


BACK ORDERS

HALF PRICE KITCHEN ORLANDO, LLC IS NOT RESPONSIBLE AND/OR LIABLE FOR ANY CABINETS THAT MAY BE
BACKORDERED DUE TO CIRCUMSTANCES OUT OF OUR CONTROL. ALL CABINETS AVAILABILITY IN INVENTORY IS
DETERMINED BY THE MANUFACTURER OF THE CABINET STYLE & COLOR THAT CUSTOMER HAS SELECTED.


CHANGE ORDERS

THE CUSTOMER RETAINS THE RIGHT TO MAKE CHANGE ORDERS TO THIS CONTRACT. ANY CHANGE ORDER MADE WILL
ADD ON TIME TO THE DURATION OF THE PROJECT AND MUST BE IN WRITING & SIGNED OFF ON BY BOTH THE CUSTOMER
& HALF PRICE KITCHEN ORLANDO, LLC. THE TIME ADDED ON TO THE PROJECT SCHEDULE MAY VARY FROM A FEW
DAYS UP TO MULTIPLE WEEKS. THE PROJECT MANAGER WILL GIVE THE CUSTOMER A ROUGH AGREEMENT WITH THE
TIMELINE AS TO HOW LONG THE CHANGE ORDER WILL AFFECT THE SCHEDULE. HOWEVER, IN ORDER TO KEEP THE
PROJECT MOVING QUICKLY. SMALLER CHANGE ORDERS MAY BE DONE VERBALLY. CHANGE ORDERS WILL REQUIRE
AN INCREASE IN COST IF ADDITIONAL MATERIAL AND/OR LABOR IS REQUIRED.


COLOR MATCHING

CABINETS ARE PREFABRICATED IN BULK AND SOME CABINETS ARE FINISHED TO ORDER. BECAUSE OF THE NATURAL
AGING OF WOOD AND FINISHES, HALF PRICE KITCHEN ORLANDO, LLC CANNOT GUARANTEE AN EXACT COLOR MATCH FOR
ANY ADD-ON ORDERS THAT MAY OCCUR AFTER THE ORIGINAL ORDER, ESPECIALLY AFTER SEVERAL WEEKS/MONTHS
FROM TIME OF DELIVERY OF ORIGINAL ORDER.


INSURANCE

THE CONTRACTOR/ PREFERRED INSTALLER WILL MAINTAIN WORKER’S COMPENSATION AND GENERAL LIABILITY
INSURANCE AS REQUIRED BY LAW FOR THE STATE OF FLORIDA. THE CONTRACTOR WILL FURNISH THE CUSTOMER A
COPY OF INSURANCE CERTIFICATES UPON REQUEST.


SELF-INSTALLATION (IF APPLICABLE)

HALF PRICE KITCHEN ORLANDO, LLC WILL NOT BE RESPONSIBLE FOR ANY DAMAGE TO MATERIALS CAUSED BY THE
CUSTOMER OR ANY CONTRACTOR/HANDYMAN THAT CUSTOMER SPECIFICALLY HIRES. CUSTOMER WILL HAVE 48 HOURS
TO NOTIFY HALF PRICE KITCHEN ORLANDO, LLC OF ANY DAMAGE, IN WRITING, THAT WAS FROM PICK-UP OR
DELIVERY OTHERWISE WE ARE NOT RESPONSIBLE.


WARRANTY

HALF PRICE KITCHEN ORLANDO, LLC SHALL PROVIDE A WARRANTY TO THE CUSTOMER FOR MATERIAL AND
WORKMANSHIP PROVIDED BY A PREFERRED INSTALLER OF HALF PRICE KITCHEN ORLANDO, LLC FOR THE
SCOPE OF WORK RELEVANT TO THIS PURCHASE AGREEMENT FOR A PERIOD OF ONE YEAR FROM THE DATE OF FINAL
INVOICE. HALF PRICE KITCHEN ORLANDO, LLC WILL FILE ANY MANURFACTURE WARRANTIES BASED ON
MANURFACTURES GUIDELINES AND TERMS.


TERMINATION OF PURCHASE AGREEMENT

THE CUSTOMER MAY TERMINATE THE PURCHASE AGREEMENT AT ANY TIME. HOWEVER, IF ANY COSTS HAVE BEEN
INCURRED BY HALF PRICE KITCHEN ORLANDO, LLC AT THE TIME OF CANCELLATION THEN CUSTOMER MAY BE
SUBJECT TO RETURN FEE OF UP TO 25% RE-STOCKING FEE AS LONG AS MATERIAL HAS NOT BEEN ASSEMBLED
AND CAN BE RETURNED, A DESIGN FEE OF $150.00 & FIELD MEASUREMENT FEE (IF APPLICABLE) OF $150.00.

DISCLAIMERS:

1. INSTALLERS ARE ONLY RESPONSIBLE FOR THE AGREED UPON WORK & ANYTHING ADDITIONAL WILL INCUR
ADDITIONAL CHARGES.
2. HALF PRICE KITCHEN ORLANDO, LLC AND/OR ITS PREFERRED INSTALLERS ARE NOT RESPONSIBLE FOR
PLUMBING AND/OR ELECTRICAL CONNECTIONS.
3. ANY CHANGES MADE TO ORDER AFTER AGREEMENT WILL REQUIRE A CHANGE ORDER AND MAY
CAUSE DELAYS TO THE PROJECT.
4. ONCE WE HAVE PERFORMED TEMPLATE ON COUNTERTOP ALL COUNTERTOP SALES ARE FINAL.
5. CABINETS MAY BE CONSTRUCTED FROM SEVERAL PIECES OF SOLID WOOD, MDF AND WOOD
VENEERS ON PLYWOOD. DIFFERENCES IN GRAIN PATTERN AND COLOR SHOULD BE EXPECTED.
COLOR DIFFERENCES IN WOOD ARE THE RESULT OF VARIANTES IN MINERALS FOUND IN THE SOIL
NATIVE TO THE TREE’S ORIGIN. ABSORPTION OF THESE MINERALS WILL VARY BY TREE OR PARTS
OF SAID TREE. IN ADDITION, COLOR CHANGES CAB BE EXPEREINCED DUE TO DIFFERENT
EXPOSURE TO LIGHT. ALL SPECIES OF WOOD WILL DISPLAY CHREMATISTICS SUCH AS KNOTS,
PINHOLES, SAP RUNS, MINERAL STREAKS, AND DARKENING WITH AGE. IT IS THE NATUREAL
BEAUTY OF WOOD TO EXHIBIT THESE CHARACTERISTICS AND THEY WILL BE PRESENT
THROUGHOUT YOUR CABINETRY.
6. GRANITE/NATURAL STONE MAY VARY IN COLOR, CRYSTAL STRUCTURE, MINERAL FORMATION & TEXTURE. THESE
DIFFERENCES ARE NOT CONSIDERED FLAWS BUT RATHER NATURAL OCCURRENCES. WE ENCOURAGE OUR
CUSTOMERS TO VIEW, FEEL & SELECT THE WHOLE SLAB BEFORE FABRICATION BEGINS SO THAT THEY ARE NOT
SURPRISED BY ANYTHING AT TIME OF INSTALL.

HALF PRICE KITCHEN ORLANDO, LLC STRONGLY RECOMMENDS THAT YOU USE OUR PREFERRED CABINET
INSTALLER FOR YOUR NEW KITCHEN CABINETRY. OUR PREFERRED INSTALLERS SPECIALIZE IN CABINETRY
INSTALLATION AND ARE INSTALLATION PROFESIONALS EXPERIENCED AND TRAINED TO PROVIDE OUR
CUSTOMER WITH THE BEST POSSIBLE RESULTS. OUR PREFERRED INSTALLATION PACKAGE INCLUDES FREE LABOR
RELATED TO ANY QUALIFIED CABINETRY WARRANTY AND/OR TOUCH-UPS AND ADJUSTMENTS WITHIN THE FIRST YEAR
FROM FINAL DATE OF INSTALLATION.

HALF PRICE KITCHEN ORLANDO, LLC RESPONSIBILITIES:
• CONFIRM FINAL ROOM DIMENSIONS, INCLUDING WINDOWS, DOORS AND/OR ANY OBSTACLES
• DEMO EXISTING CABINETS (IF REQUIRED)
• ASSEMBLE (IF REQUIRED) ALL CABINETS- MAY ALSO BE PROVIDED BY PM HOME RENOVATIONS
• INSTALL CABINETRY PER DESIGN AND ACCOMMODATE ANY CHANGES THAT MAY BE NECESSARY
• VERIFY THAT ALL DOORS/DRAWERS ARE OPERATING PROPERLY AFTER INSTALLATION
• INSTALL ANY CUSTOM PANELS FOR APPLIANCE (IF REQUIRED)
• INSTALL FARMHOUSE SINK (IF REQUIRED) IN PREPARATION FOR COUNTERTOP TEMPLATING
• INSTALL ALL MOLDINGS ON CABINETS (IF PURCHASED FROM HALF PRICE KITCHEN ORLANDO, LLC)
• INSTALL ALL HARDWARE ON DRAWERS & DOORS (IF ON SITE ON DATE OF INSTALLATION/ OR SUPPLIED
BY HALF PRICE KITCHEN ORLANDO, LLC)
• TOUCH UP WITH MANUFACTURER SUPPLIED TOUCH UP KITS WHEN APPLICABLE


CABINET INSTALLERS ARE NOT RESPONSIBLE FOR PLUMBING, OR ELECTRICAL

CUSTOMER RESPONSIBILITIES:

• JOB SITE MUST BE SECURE, WEATHER TIGHT & CLIMATE CONTROLLED
• ALL WALLS MUST BE READY FOR INSTALLATION
• INSPECT CABINETS FOR DAMAGE AND/OR FLAWS AFTER DELIVERY
• PROTECT CABINETS AFTER INSTALLATION (IF DOING LARGE CONSTRUCTION PROJECTS)
• PAY FOR DEMOLITON WHEN DEMOLITION IS COMPLETED (PAYABLE TO CABINET INSTALLER)
• PAY FOR INSTALLATION WHEN INSTALLATION IS COMPLETED (PAYABLE TO CABINET INSTALLER)
• PAY FOR 80% OF TOTAL INSTALLATION PRICE IF INSTALLER HAS INSTALLED ALL ITEMS OTHER
THAN ANY PENDING WARRANTY CLAIM OR CHANGE ORDER OUT OF INSTALLERS CONTROL ALL
